Job Description

Legal and Compliance

  • Lead and manage the legal and compliance function, ensuring timely legal guidance and risk mitigation.
  • Develop, implement, and monitor company-wide compliance programs in alignment with legal and regulatory requirements.
  • Advise the Board, CEO, and senior management on legal, regulatory, and industry matters affecting the business.
  • Oversee corporate contracts, agreements, litigation, intellectual property management, and other legal activities.
  • Provide legal support in areas such as corporate governance, risk management, and business ethics.
  • Ensure compliance with regulatory frameworks including AML, anti-bribery, and data protection laws.
  • Conduct internal compliance audits, investigations, and regulatory reporting.
  • Stay current on legal and regulatory developments and provide proactive compliance guidance.

Company Secretarial

  • Serve as Company Secretary, ensuring compliance with statutory and corporate governance requirements.
  • Organize and attend Board meetings, shareholder meetings, and prepare agendas, resolutions, and minutes.
  • Facilitate communication between the Board, leadership, and shareholders.
  • Ensure compliance with corporate filing requirements and maintain corporate records.
  • Advise on best practices in corporate governance and entity structuring.

Leadership and Strategy

  • Lead and mentor the Legal and Compliance team to deliver quality support.
  • Collaborate with leadership to align legal strategy with business goals and risk tolerance.
  • Provide ongoing legal and compliance training to employees.
  • Act as a strategic advisor to identify and mitigate legal and regulatory risks.

Other Responsibilities

  • Manage external legal advisors and ensure cost-effective, quality support.
  • Lead or support major transactions such as mergers, acquisitions, and partnerships.
  • Oversee legal aspects of CSR and ESG initiatives.

Expected Competencies

Education & Certifications

  • Minimum: LLB (Bachelor of Laws) from a recognized institution.
  • Preferred: LL.M or certification in corporate governance (e.g., ICSA).

Experience

  • At least 10 years of experience in legal, compliance, and governance roles, with 5+ years in leadership.
  • Proven experience managing legal/compliance functions and corporate governance.
  • Extensive background in contracts, M&A, intellectual property, and dispute resolution.
  • Familiarity with regulatory frameworks (AML, GDPR, anti-bribery, securities laws, etc.).
  • Strong ability to manage Board-level matters and communicate with senior stakeholders.
